These terms explain the rules for using Taly, account responsibilities, subscriptions, acceptable use, connected channels, AI features, and service limits.

Acceptance of these Terms

These Terms apply to your use of the Taly website, dashboard, applications, APIs, integrations, and any services or features connected to the Taly platform.

By using Taly, creating an account, inviting your team, or connecting an external channel, you confirm that you have read and agree to these Terms and the other policies published or referenced inside the service.

If you use Taly on behalf of a company or business, you confirm that you have the legal authority to represent that business and bind it to these Terms.

Short definitions

For these Terms, the following terms have the meanings below unless the context requires otherwise.

  • Taly, we, us, or our: the Taly platform and the company that owns or operates it.
  • User: any person who accesses or uses Taly, including an account owner, admin, or employee.
  • Business customer: the company or business that creates an account or workspace inside Taly.
  • Workspace: the environment where a business customer manages channels, teams, customers, conversations, orders, bookings, campaigns, and integrations.
  • End customer: the person or organization contacted by the business customer through Taly.
  • Services: the website, dashboard, applications, APIs, features, integrations, and support connected to Taly.
  • Channels: external channels connected or operated through Taly, such as WhatsApp, Instagram, Messenger, or others.
  • Content: messages, files, templates, products, notes, customer data, campaigns, or any data entered or sent through the service.
  • Data: any information collected, processed, or stored through use of Taly.

Service description

Taly helps businesses manage customer conversations, customer data, teams, orders, bookings, tickets, campaigns, automation, and integrations from one place.

Available features may vary depending on plan, settings, enabled channels, country, service provider approvals, and ongoing product development.

Taly may improve the service, modify features, add new functions, or discontinue older features, while aiming to avoid material harm to existing customer rights where practical.

Eligibility

Taly is intended for business and professional use, not personal use, children, or minors.

  • You must be legally able to create an account and use the service.
  • If you use Taly on behalf of an organization, you must be authorized to do so.
  • Your use of the service must not violate laws, regulations, or external channel policies.
  • You must provide accurate and current information when creating an account or managing a subscription.

Accounts and workspaces

You are responsible for managing your account and workspace, including login credentials, team members, roles, permissions, channel settings, and data entered or sent through the account.

  • Keep login credentials confidential and do not share them with unauthorized people.
  • Keep account and billing information updated.
  • You are responsible for activity through your account and team accounts.
  • Manage employee permissions according to their roles.
  • Tell us promptly if you suspect unauthorized access or unsafe account use.

Subscriptions and plans

Taly may offer different plans based on business needs, team size, channels, messages, contacts, orders, bookings, campaigns, automation, or advanced features.

  • Each plan may include specific usage limits or features.
  • Some features may require a higher plan or additional activation.
  • Exceeding usage limits may require an upgrade, additional fees, or feature restrictions.
  • Plans may be upgraded or downgraded according to the policies available at the time.
  • Prices, features, and plan terms may change from time to time.

Billing and payments

Subscription fees, invoices, payments, renewals, and cancellation are subject to the terms shown during signup, on the pricing page, in the invoice, or in an approved commercial agreement.

  • You are responsible for paying fees when due.
  • A subscription may renew automatically if renewal is enabled.
  • Late payment may lead to service restriction or suspension.
  • Prices may exclude taxes, government fees, or external channel fees unless stated otherwise.
  • WhatsApp, Meta, or messaging provider fees may be separate from the Taly subscription.
  • Any refund policy is subject to the agreement, pricing page, or invoice.

Acceptable use

You must use Taly lawfully and responsibly, without harming the platform, other users, end customers, or channel providers.

You may not use Taly to:

  • Send spam, unauthorized messages, or messages without a proper legal basis.
  • Commit fraud, impersonation, misleading conduct, or deception.
  • Send illegal, abusive, threatening, or rights-infringing content.
  • Violate WhatsApp, Meta, or any connected external channel policies.
  • Attempt to hack, disrupt, or bypass technical limits.
  • Upload unnecessary or unauthorized sensitive data.
  • Circumvent plan limits or operational restrictions.
  • Use the service in a way that creates security, operational, or legal harm for Taly or others.
  • Copy, resell, or use the service to build a competing product without written permission.

WhatsApp, Meta, and external channels

When using external channels such as WhatsApp, Instagram, Messenger, or other third-party integrations, your use is also subject to that provider's terms and policies.

  • You are responsible for complying with WhatsApp, Meta, and connected channel policies.
  • You are responsible for message, template, campaign, and consent content.
  • Templates or channels may be reviewed, accepted, or rejected by the external provider.
  • Channel permissions may change or stop because of external decisions outside Taly's control.
  • Taly is not responsible for Meta, WhatsApp, or third-party decisions that affect channel or feature availability.

Campaigns, templates, and messages

If you use Taly to send campaigns, templates, or bulk messages, you are responsible for making sure communication with the target audience is lawful.

  • Obtain required consents before sending messages when law or channel policy requires them.
  • Respect opt-out and unsubscribe requests.
  • Do not send spam, misleading messages, or unlawful content.
  • You are responsible for the accuracy of lists, segments, and campaign data.
  • Template approval or rejection may be controlled by the channel provider, not only by Taly.

Commerce, orders, and bookings

Taly helps organize orders, products, carts, bookings, appointments, reminders, and follow-up status, but it does not become a party to the commercial relationship between you and your end customers.

  • You are responsible for products, services, prices, offers, and availability.
  • You are responsible for delivery, fulfillment, appointments, cancellation, refunds, or obligations to end customers.
  • You are responsible for taxes, invoices, and commercial requirements that apply to your business.
  • Any dispute between you and an end customer remains your responsibility as the product or service provider.

Artificial intelligence

Taly may provide AI-assisted features such as reply suggestions, conversation summaries, message classification, or help understanding customer context.

  • AI outputs may be inaccurate or incomplete in some cases.
  • Replies or suggestions should be reviewed before use when appropriate.
  • Do not rely only on AI for sensitive legal, financial, medical, or business-critical decisions.
  • Do not enter unnecessary sensitive data into prompts, knowledge bases, or conversations used with AI features.
  • You are responsible for how you use AI outputs in your business.

Customer data and content

You keep ownership or control over the content and data you enter, receive, or process through Taly, according to your relationship with your customers and applicable laws.

You give Taly the right to process this content and data as needed to provide the service, operate features, provide support, protect the system, and comply with legal obligations.

  • You are responsible for the legality of data you collect, upload, or use.
  • You are responsible for obtaining appropriate consents or legal bases.
  • Taly does not sell customer data or conversation data.
  • Data may be retained or deleted according to the Privacy Policy, account settings, and legal obligations.

Intellectual property

Taly retains all rights related to the platform, design, logo, brand, code, interfaces, documentation, materials, and features unless otherwise agreed in writing.

  • You may not copy, modify, resell, decompile, or reverse engineer the service without written permission.
  • You may not use Taly's name, logos, or marks in a way that suggests unauthorized sponsorship or partnership.
  • You keep your rights in your business content and customer data.

Service providers and integrations

Some Taly features depend on third-party providers such as social channels, hosting, payments, notifications, email, analytics, or AI services.

  • Some features may require setup or approval from an external provider.
  • A third-party outage or change may affect some Taly features.
  • Some integrations may be subject to additional third-party terms.
  • Taly does not guarantee that every external service will remain available with the same terms or capabilities.

Availability and maintenance

We aim to provide Taly in a stable and secure way, but we cannot guarantee the service will always be available without interruption or errors.

  • Scheduled or emergency maintenance may occur.
  • The service may be affected by factors outside Taly's control, such as internet issues, channel providers, or infrastructure providers.
  • We may need to update the service or change features to improve performance or security.
  • We will make reasonable efforts to reduce downtime and handle incidents.

Suspension or restriction

Taly may suspend, restrict, or stop access to an account or certain features if there is a reasonable reason to do so.

This may include:

  • Violation of these Terms, the Privacy Policy, or acceptable use policies.
  • Failure to pay due fees.
  • Sending spam or prohibited messages.
  • Violation of Meta, WhatsApp, or connected channel policies.
  • Security risk, attempted hacking, or misuse.
  • Use of the service in a way that may harm Taly, users, or service providers.

Account termination and data deletion

You may request account cancellation or subscription termination through available Taly procedures or by contacting our team, subject to any financial or contractual obligations.

  • Terminating a subscription may lead to loss of access to certain features or data.
  • Some data may be retained for a limited period for backups, legal compliance, or dispute resolution.
  • Billing records or legally required logs may remain for the necessary period.
  • Removing channels or integrations may stop receiving or sending messages through those channels.
  • Deletion requests are handled according to the Privacy Policy and available technical procedures.

Limits of liability

To the maximum extent permitted by law, Taly is not liable for indirect, incidental, special, or consequential losses, or loss of profits, data, or reputation arising from use of the service or inability to use it.

  • We are not responsible for Meta, WhatsApp, or third-party decisions or outages.
  • We are not responsible for user errors, settings, content, or campaigns.
  • We are not a party to commercial dealings between you and your end customers.
  • We do not guarantee that the service will prevent every operational error, missed follow-up, or unwanted business outcome.
  • Some limitations may not apply in certain jurisdictions, in which case they apply to the maximum extent permitted by law.

Indemnity

You agree to indemnify, defend, and hold Taly harmless from claims, losses, damages, or costs arising from your unlawful use of the service, your violation of these Terms, applicable laws, or third-party rights.

This includes, without limitation, claims related to unauthorized messages, campaign content, customer data, channel policy violations, or unlawful use of the service.

Changes to these Terms

We may update these Terms from time to time because of changes in the service, laws, service providers, or feature operations.

When material changes are made, we may show a notice inside the service or update the last modified date at the top of the page. Continuing to use Taly after an update means you accept the new version unless the law requires otherwise.

Governing law and dispute resolution

The governing law and dispute resolution process will depend on the legal entity operating Taly and the country or commercial agreement that applies.

This section requires final legal review before full commercial adoption and may be updated to specify jurisdiction, dispute resolution, or arbitration more clearly.
